Company Overview and Current Status

• Jurisdiction of Incorporation:
  The company was officially incorporated in the British Virgin Islands (BVI) in mid-2024. The incorporation was completed in compliance with BVI corporate regulations and the entity is currently in good standing.

• Licensing:
  The company successfully obtained a B2C (Business-to-Consumer) iGaming license from the jurisdiction of Anjouan at the end of 2024. This license allows the company to legally offer online gambling and gaming services to end users under the regulatory framework of Anjouan.

• Operational Activity:
  To date, the company has not commenced any commercial activities. No business operations, customer acquisitions, gaming services, or other revenue-generating activities have taken place since incorporation and licensure.

• Banking and Financial Accounts:
  The company has not opened any bank accounts or established any other financial accounts in any jurisdiction. There are no financial transactions or balances currently associated with the entity.

• Corporate Governance – UBO Update:
  A change in the company’s Ultimate Beneficial Owner (UBO) is required. The current UBO intends to step down or transfer ownership, and a new UBO needs to be formally appointed and recorded in accordance with BVI corporate governance requirements and any regulatory obligations tied to the Anjouan license.
